A growing logistics company is seeking a Corporate Counsel to join the legal team. This role will provide broad-based legal support across the organization, including commercial contracts, transactions, regulatory compliance, employment law, corporate governance, and risk management

Key Responsibilities:

• Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, logistics service agreements, NDAs, and partnership agreements. • Support employment law matters, including policy development, dispute resolution, and compliance with labor regulations. • Assist with corporate governance, including board resolutions, entity management, and corporate filings. • Support mergers and acquisitions (M&A) activities, including due diligence, transaction structuring, contract negotiation, and post-deal integration. • Collaborate with cross-functional teams including operations, finance, HR, and procurement to identify and mitigate legal risks. • Liaise with external counsel on specialized legal matters and litigation. • Monitor changes in relevant laws and regulations and advise the business accordingly.

Qualifications:

• Juris Doctor (JD) or equivalent legal degree; licensed to practice law in the U.S. • Fluency in Mandarin and English is required. • Strong understanding of commercial law, contract negotiation, and regulatory compliance. • Excellent communication, analytical, and organizational skills.
